Here is how I understand your paragraph: (1) Party A owns land; (2) Party A leases the land to Party B; (3) Party A may wish to convey (transfer) ownership of the land to someone; (4) Party B has a "priority" right (a "right of first refusal") to buy (purchase) the land on the same terms that Party A offers the land to someone else; (5) if Party A wishes to convey the land to a strategic partnership or related party which is not a competitor of Party B, Party B will give up its right of first refusal, and Party A shall not require Party B’s approval in order to convey the land to its strategic partnership or related party; and (6) Number 5 concerning conveying the premises to a strategic partnership etc. is contingent (on the condition) that a certain other agreement and its attachments be implemented during the lease term.

Here is suggested language for the lease:

On the condition that the agreement and the related attachments are implemented during the lease term, if Party A wishes to convey or otherwise transfer the premises which are the subject matter of this lease to either a strategic partnership or related party of Party A which is not a competitor of Party B, Party B agrees to release its right of first refusal to purchase the premises, and Party A shall not require the approval of Party B in order to convey or otherwise transfer the premises.
