Are oth sentences OK? She is in very sad circumstances. The circumstances that she is in are very sad.

Both sentences are gramatically correct. Most people would drop the "that" from the second sentence: the circumstances she is in are very sad. Whether they are OK or not - ie whether using them makes good English - would depend on the context in which they appear.
