1. Several overcrowded buses passed as we were wating.
2. Several overcrowded buses passed when we were wating.

Several buses passed as/while we were waiting. 'When' here is a little clumsy, perhaps implying that had you not been waiting, they would not have passed.

Yes, they are the same (not sure if you noticed waiting ..I think you just made a typo).
