There's really no difference in meaning. "Happen" is a word that comes from Old English, while "occur" is of Latin origin. There's also a phrasal verb "take place" and another word of Latin origin, "transpire", that have very similar meanings.

I would add that “occur” has a somewhat more formal quality to it than “happen” does.
