They mean the same thing. WHOM is an interesting word. It confuses most most native speakers, and seems to be going out of style. Jonathon is correct if you're taking a test, or in some other formal situaion. But almost all native speakers, in the US at least, would say it the second way, "Who is he talking to." is completely natural.

The difference is that the first sentence is correct but the second is grammatically wrong. It is best to say:
"To whom is he talking?"
