"There's a Shadow Haning Over Me" is a reference which refers to a bad mood. Bad Moods are symbolically represented by Dark Shadows or Grey or Black Clouds.
Thus, the Beatles song refers to a Dark Shadow or Cloud standing above the person's head, meaning that he feels very sad.
