What's the meaning " that is otherwise in the interests of holders of our Common Stock"? Thanks!!!! These adverse effects could include subordination to preferred stockholders in the payment of dividends and upon our liquidation and dissolution, and the use of Preferred Stock as an anti-takeover measure, which could impede a change in control that is otherwise in the interests of holders of our Common Stock.

This is more of a technical financial question than one of English comprehension. The majority of native English speakers would be unable to explain this sentence, unless also familiar with finance and company stocks.

You have here a badly constructed piece of legalise and the lawyer should be shot. However, the phrase means that "nothing should occur by this change which affect the interest of the common stock holders", which upholds the general principle that the common stock holders are the most important equity holders in a company. Hence why Google has A and B shares so they can ignore the general principle ;-)
