Las dos frases son correctas? Si son, hay alguna diferencia entre las dos?

La única diferencia posible puede ser el tiempo del verbo "hablar". En el primer caso, se entiende que fue durante un tiempo prolongado (hablando), mientras que en la segunda no se sabe exactamente cuánto tiempo duró la conversación.

Totally agree, both can be used to express the same idea. Although we can find a very interesting point:
Lo ví hablando con ella - In this case it could be ambiguous because we don't know wheter you are talking with her or "He" is doing it.
Lo ví hablar con ella - In this case it is not ambiguous. He is speaking with her.
